Seagull Software Announces New Chairman of the Board of Supervisory Directors

Dordrecht – 23 September 2005

Seagull Software (AEX: SEAGULL), a leading provider of technology for transforming legacy applications into service-oriented architecture assets, announced today that for personal reasons Frank van Pelt has resigned his position as Chairman of the Board of Supervisory Directors of Seagull Holding N.V., effective immediately. Mr. van Pelt will remain as a member of the Board. Tom van der Loo, who has served on the Company's Board since June 1995, has been elected Chairman by the Board of Supervisory Directors following Mr. van Pelt's resignation.

"As founder of the Company, it has been my professional and personal honor to serve as Chairman, especially during recent months when Seagull Software has made two strategic acquisitions and significantly expanded the breadth and depth of its capabilities," said Mr. van Pelt. "For personal reasons, I will not be able to devote the time that I believe the Chairmanship role requires, but I will remain on the Board. I'm pleased that Tom van der Loo, a long-standing Seagull Software supporter and experienced business leader, will assume the role of Chairman."

Tom van der Loo has been actively associated with the Company since its founding in 1990, having served as an advisor to Seagull Software at that time. He began his career in IT in 1969 at Nixdorf Computers, holding various positions including manager of an international team responsible for development of the Nixdorf International Application packages. In 1974 he started his own software development company - Holland Automation International - and was instrumental in the growth of the company's international presence, establishing subsidiaries in the UK, France, Germany, Ireland and the U.S. In addition, he was development manager for Anker Data in Germany from 1976 to 1987. After selling Holland Automation to Groupe Concept (France) in 1989, Mr. van der Loo served as Manager of Mergers and Acquisitions Europe for Groupe Concept until 1991. Today he is retired with interests in venture capital activities.
